Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of Liceo, a SaaS licence management platform operated at liceo.io and its subdomains ("the Service"). By registering for or using the Service, you ("Customer", "you") agree to be bound by these Terms and our Privacy Policy.
If you are accepting these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation. If you do not agree, do not use the Service.
2. Definitions
- "Liceo", "we", "us", "our" — the operator of the Liceo platform.
- "Customer", "you" — the organisation or individual who has registered for and uses the Service.
- "Authorised Users" — employees or contractors of the Customer who are granted access to the Service by the Customer's account administrator.
- "Customer Data" — data uploaded, submitted, or generated by the Customer or its Authorised Users through the Service.
- "Subscription" — the right to access and use the Service during the subscription period, subject to these Terms.
3. Account Registration
To use Liceo, you must register and create an organisation account. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain and promptly update your account information.
- Keep your login credentials confidential and not share them with unauthorised parties.
- Notify us immediately at hello@liceo.io if you suspect any unauthorised access to your account.
- Accept responsibility for all activity that occurs under your account.
You must be at least 18 years of age to create an account. Liceo is designed for business use and is not intended for personal, family, or household purposes.
4. Licence to Use the Service
Subject to your compliance with these Terms and timely payment of applicable fees, Liceo grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service during your Subscription period for your internal business purposes.
You may not:
- Sublicence, resell, or transfer the Service to any third party.
- Reverse engineer, decompile, or disassemble any component of the Service.
- Use the Service to build a competing product or service.
- Circumvent any technical limitations or access controls.
- Use the Service in any way that violates applicable law or regulation.
5. Customer Data
You retain all ownership rights to your Customer Data. By using the Service, you grant Liceo a limited licence to process Customer Data solely to provide, maintain, and improve the Service as described in our Privacy Policy.
You are responsible for:
- Ensuring that your submission of Customer Data complies with applicable laws and does not infringe third-party rights.
- Obtaining any necessary consents from individuals whose personal data you upload to the Service (e.g., employee directory data).
- Maintaining appropriate backups of your Customer Data.
Liceo does not sell Customer Data. Upon account cancellation, we will provide a full data export upon request and delete Customer Data within 30 days, except where retention is required by law.
6. Acceptable Use
You agree not to use the Service to:
- Transmit unlawful, defamatory, fraudulent, or harmful content.
- Introduce viruses, malware, or other malicious code.
- Conduct denial-of-service attacks or attempt to disrupt the Service.
- Scrape, crawl, or systematically extract data from the Service beyond normal use.
- Impersonate any person or entity.
- Violate the privacy or intellectual property rights of others.
We reserve the right to suspend or terminate accounts that violate this acceptable use policy without notice.
7. Subscriptions and Payment
Access to Liceo is provided on a subscription basis. Subscription fees, billing cycles, and plan details are set out on the pricing page or in a separate Order Form agreed between you and Liceo.
- Billing: Subscriptions are billed in advance on the agreed billing cycle (monthly or annual).
- Auto-renewal: Subscriptions automatically renew at the end of each period unless cancelled before the renewal date.
- Price changes: We will provide at least 30 days' notice before changing subscription fees for existing customers.
- Refunds: Fees are non-refundable except where required by applicable law or as expressly stated in a separate agreement.
- Taxes: Subscription fees are exclusive of taxes. You are responsible for all applicable taxes.
Failure to pay fees may result in suspension or termination of your access to the Service.
8. Integrations and Third-Party Services
Liceo may integrate with third-party services including Microsoft Entra ID and Google Workspace. Your use of those integrations is subject to the terms and policies of those third parties. Liceo is not responsible for the availability, accuracy, or security practices of any third-party service.
When you connect a third-party integration, you authorise Liceo to access the relevant data from that service as described in our Privacy Policy. You can revoke this access at any time by disconnecting the integration within Liceo or through your identity provider settings.
9. Intellectual Property
Liceo and all related content, features, code, design, and trademarks are owned by Liceo or its licensors and are protected by intellectual property laws. Nothing in these Terms transfers ownership of any intellectual property to you.
Any feedback, suggestions, or ideas you provide about the Service may be used by Liceo without restriction or compensation to you.
10. Confidentiality
Each party agrees to keep confidential any non-public information of the other party that is disclosed in connection with the Service and marked as confidential or that would reasonably be understood to be confidential. This obligation does not apply to information that: (a) is or becomes publicly known without breach; (b) was already known to the receiving party; (c) is independently developed; or (d) is required to be disclosed by law.
11. Warranties and Disclaimers
Liceo will provide the Service with reasonable care and skill and will take reasonable steps to maintain its availability and security.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". LICEO DISCLAIMS ALL WARRANTIES NOT EXPRESSLY SET OUT IN THESE TERMS, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW:
- LICEO'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.
- LICEO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.
13. Indemnification
You agree to defend, indemnify, and hold harmless Liceo and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your Customer Data; or (d) your violation of any third-party rights.
14. Term and Termination
These Terms remain in effect for the duration of your Subscription and any renewals thereof.
- Termination by you: You may cancel your Subscription at any time by contacting hello@liceo.io. Cancellation takes effect at the end of the current billing period.
- Termination by us: We may suspend or terminate your account immediately if you breach these Terms, fail to pay fees, or if continued service would expose Liceo to legal or regulatory risk.
- Effect of termination: On termination, your right to use the Service ceases. We will provide a data export on request and delete your Customer Data within 30 days.
15. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
If you are a consumer located in the EU, you may also have the right to refer a dispute to the online dispute resolution platform provided by the European Commission.
16. Changes to These Terms
We may update these Terms from time to time. We will notify account administrators by email of material changes at least 14 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, you may cancel your Subscription before the effective date.
